Governance Working Group

Terms of Reference

Purpose: The role of the Governance Working Group is to bring DAI into full compliance with the Governance Code. The aim is to achieve this by end of Q2 2017, at which time the Board will take over responsibility for ensuring ongoing compliance with good governance standards.

The function of this working group is:

  • To bring DAI to full compliance with the Governance Code by mid-2017
  • To oversee development of all related policies and procedures
  • To bring strategic policies to the Board for review and approval

Membership: The maximum number of members of the Working Group shall be set at 4 (excluding ex-officio members).  The CEO will be an ex-officio member, when required.

Chair: The Governance Working Group is chaired by Niall Byrne (Board Chairperson).

Secretary: Gloria Rull (Board Member).

Reporting: The Working Group will submit a regular report to the Board, outlining progress made and any draft policies for review and approval.
